- "Deliverables" – Any files, software, designs, documents, or assets produced for the Client.
- "Agreement" – These Terms & Conditions along with any project contract, proposal, or invoice.
2. Acceptance of Terms
By using our website or hiring Qudelta Studios for any service, you acknowledge that:
- You have read and understood these Terms
- You agree to comply with them
- You are legally able to enter into contractual agreements
If you are using Qudelta's Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Scope of Services
Qudelta provides a variety of digital and software-focused services, including but not limited to:
- Custom software development
- Website & mobile app development
- UI/UX design
- Branding & creative services
- Consulting & strategy
- Maintenance & support services
- Hosting (if applicable)
- Marketing or digital performance services
The specifics of any project, including timelines, scope, pricing, and deliverables, are defined in the proposal or contract shared with the Client.
4. Client Responsibilities
The Client must:
- Provide timely access to information, content, credentials, and approvals
- Respond to questions, reviews, and project requirements within reasonable timeframes
- Ensure all materials they provide (images, text, logos, etc.) are owned or licensed by them
- Not request copyright-infringing, illegal, or unethical work
Qudelta is not responsible for delays caused by incomplete or late communication.
5. Payments & Billing
5.1 General Payment Terms
- Payments must be made as per the agreed schedule in the proposal or invoice.
- Work may be paused or withheld if payments are delayed.
- All fees are non-refundable unless otherwise stated.
5.2 Late Payments
Late payments may result in:
- Suspension of Services
- Additional fees or interest
- Cancellation of project access or deliverables
5.3 Currency
Billing currency will be specified in the invoice (e.g., INR, USD).
6. Intellectual Property
6.1 Ownership of Deliverables
Upon full payment:
- Clients receive rights to the final approved deliverables described in the project scope.
However:
- Source files (e.g., raw design files, internal tools, proprietary frameworks) remain Qudelta's property unless explicitly included.
- Any unpaid work or drafts remain the sole property of Qudelta Studios.
6.2 Qudelta's Portfolio Rights
Qudelta may showcase completed work (designs, screenshots, case studies) in:
- Online portfolios
- Social media
- Presentations
unless the Client requests NDA protection or confidentiality in writing.
7. Revisions & Approvals
Projects include a specific number of revisions as stated in the contract. Additional revisions may incur extra fees. Once a deliverable is approved:
- Any further changes are considered new work
- Additional charges may apply
8. Timelines & Delivery
Project timelines depend on:
- Client responsiveness
- Complexity of the project
- Third-party dependencies
Qudelta will make reasonable efforts to deliver on time but is not liable for delays caused by:
- Client inaction
- External dependencies (APIs, hosting services, third-party libraries)
- Technical or unforeseen issues
9. Confidentiality
Both Qudelta and the Client agree to keep shared information confidential, including project details, internal documents, strategy, and proprietary information. This does not include:
- Publicly available information
- Information independently obtained
- Information required to be disclosed by the laws of India
10. Third-Party Tools & Integrations
Some projects may require use of third-party services, such as hosting providers, APIs, licensing tools, and payment gateways. Qudelta is not responsible for:
- Outages
- Bugs
- Policy changes
- Additional costs
- Third-party failures
Clients agree to comply with the third-party service terms.
11. Limitation of Liability
To the maximum extent permitted by law:
- Qudelta shall not be liable for any indirect, incidental, or consequential damages.
- We are not responsible for losses related to data, business interruption, profits, or security breaches arising from use of our Services.
- Our total liability will never exceed the total amount paid to Qudelta for the specific project.
12. Termination
Either party may terminate the agreement if:
- The other party breaches terms and fails to correct them
- The project is no longer feasible
If the Client terminates:
- All work already completed must be paid for
- Deposits or advance payments are non-refundable
Qudelta may terminate the agreement immediately if:
- The Client engages in abusive, unethical, or illegal behavior
- The Client uses deliverables in harmful or illegal ways
13. Warranty & Support
Unless stated otherwise:
- Qudelta provides limited support for a defined period after delivery
- Bugs reported within the support window will be fixed at no extra cost
- New features, design changes, or scope additions will cost extra
We do not guarantee:
- Specific business results
- SEO rankings
- Sales, conversions, or performance outcomes
14. Use of Website & Content
By using Qudelta's website, you agree not to:
- Copy, republish, or redistribute content without permission
- Attempt to hack, disrupt, or misuse the site
- Use automated scripts or bots without authorization
All website content is protected by copyright law.
15. Indemnification
You agree to indemnify and hold Qudelta harmless against claims arising from: Your misuse of our Services, Copyright violations caused by materials you provide, Breaches of these Terms, or Illegal or harmful use of deliverables.
16. Governing Law
These Terms are governed by the laws of India, unless stated otherwise in a specific contract. Any disputes shall be handled exclusively in the courts of Jammu & Kashmir.
17. Changes to Terms
Qudelta may update these Terms & Conditions at any time. Updates will be posted with a revised "Last Updated" date. Continued use of our Services indicates acceptance of the updated terms.
